By submitting Your Content, you grant Winston a worldwide, royalty-free license to host, reproduce, distribute, and publicly display Your Content as necessary to operate the Services and fulfill your distribution requests. You represent and warrant that you have all necessary rights to grant this license and that Your Content does not violate these Terms or any applicable law.
Winston may, but is not obligated to, review Your Content before or after distribution. We reserve the right to decline, delay, remove, or request revisions to any submission that, in our reasonable judgment, violates these Terms, applicable law, or the editorial standards of our newsroom partners. Removal of a release does not entitle you to a refund if the release violated these Terms.
Paid Services are billed in advance on a per-release or subscription basis. Fees are exclusive of applicable taxes, which will be added where required. All payments are non-refundable except where expressly stated (for example, the 30-day money-back guarantee on qualifying plans) or required by law. We may change pricing for future billing periods with at least 30 days' notice.
You may cancel your account at any time from your dashboard. Cancellation takes effect at the end of the current billing period. We may suspend or terminate your access to the Services, with or without notice, if you materially breach these Terms, fail to pay fees when due, or engage in conduct that we reasonably believe creates legal or reputational risk for Winston or our newsroom partners.
We aim to make the Services available 24/7, but we do not guarantee uninterrupted access. The Services are provided on an "as is" and "as available" basis. We may perform scheduled maintenance with advance notice where reasonably possible.
To the maximum extent permitted by law, Winston disclaims all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the outcome, pickup rate, or media coverage of any release distributed through the Services.
To the maximum extent permitted by law, Winston's total liability to you in connection with the Services will not exceed the greater of (a) the amount you paid to Winston in the twelve months preceding the event giving rise to the claim, or (b) US$100. Winston will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or business opportunities.
You agree to defend, indemnify, and hold harmless Winston, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Services, or your violation of these Terms.
We may modify these Terms from time to time. We will post the revised version on this page and update the "Last updated" date above. For material changes, we will provide reasonable advance notice through the platform or by email. Continued use of the Services after the change takes effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of New York, United States, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or the Services will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the jurisdiction of those courts.
